1. THE PARTIES

This Agreement is entered into between:

Ascension Wrestling Ltd (“Ascension”)

and

referred to in this Agreement as the “Performer”.

The Performer confirms that they are aged 18 or over and have authority to enter into this Agreement.

2. PURPOSE OF THIS AGREEMENT

Ascension produces professional wrestling events, television and online programming, promotional content, photography, interviews, social media content and other related entertainment material.

This Agreement records the Performer’s permission for Ascension to photograph, film, record and otherwise capture their appearances and performances for Ascension and sets out how that material may subsequently be used.

This is a continuing master release and applies to all appearances made by the Performer for Ascension while this Agreement remains applicable. A new media release does not need to be signed for each individual event unless Ascension advises otherwise or the terms of this Agreement are replaced.

3. RECORDING OF APPEARANCES AND PERFORMANCES

The Performer authorises Ascension and persons acting on Ascension’s behalf to photograph, film, video record, audio record, livestream, broadcast and otherwise capture the Performer during Ascension-related activities.

This includes, without limitation:

• professional wrestling matches;
• entrances and exits;
• in-ring and backstage segments;
• interviews and promos;
• commentary;
• press and media appearances;
• promotional videos;
• photoshoots;
• rehearsals;
• event-related backstage footage where recording is reasonably expected;
• meet-and-greets and promotional appearances;
• trailers and advertisements;
• behind-the-scenes material; and
• other content specifically produced in connection with Ascension Wrestling.

The Performer expressly authorises the recording and subsequent authorised exploitation of their performances to the extent required by applicable performers’ rights law.

4. RIGHTS GRANTED TO ASCENSION

In relation to material created or recorded under this Agreement, the Performer grants Ascension a worldwide, royalty-free licence, for the duration of the applicable rights, to use, reproduce, copy, edit, publish, exhibit, communicate, transmit, distribute, advertise, promote, broadcast, livestream and otherwise make the material available to the public.

Ascension may use the material in any media or format currently existing or developed in the future, including:

• AscensionWrestling.co.uk;
• Ascension Wrestling's on-demand or streaming services;
• live and recorded PPV broadcasts;
• free weekly programming including Momentum;
• YouTube;
• Facebook;
• Instagram;
• TikTok;
• other social media services;
• television;
• streaming platforms;
• promotional trailers;
• advertisements;
• posters;
• event graphics;
• match graphics;
• programmes;
• websites;
• press releases;
• showreels;
• documentaries;
• archive programming;
• physical or digital video releases; and
• promotional and historical material relating to Ascension Wrestling.

Ascension may also provide such material to production companies, broadcasters, hosting providers, streaming providers, distributors, advertising partners and other service providers where reasonably necessary to produce, distribute, promote or archive Ascension content.

5. NAME, RING NAME, IMAGE AND LIKENESS

The Performer authorises Ascension to use their:

• legal name where appropriate;
• professional or ring name;
• image;
• likeness;
• voice;
• recorded performance;
• approved biography;
• wrestling character as presented to Ascension;
• photographs; and
• footage recorded in connection with Ascension;

for the purposes described in this Agreement.

Ascension may use these elements to advertise an event at which the Performer is booked or expected to appear and to advertise, distribute or promote content containing the Performer.

Nothing in this Agreement permits Ascension to falsely represent that the Performer personally endorses an unrelated third-party product or service.

6. EDITING AND PRODUCTION

The Performer acknowledges that recorded material may be edited for production, timing, presentation and promotional purposes.

Ascension may, where reasonably appropriate:

• crop or resize photographs;
• colour-grade or retouch images;
• edit video and audio;
• create highlights or short-form clips;
• add commentary;
• add music where appropriately licensed;
• add graphics, logos, captions and subtitles;
• combine footage with other Ascension material; and
• create trailers, recaps and promotional packages.

Nothing in this clause is intended to authorise deliberately defamatory or unlawful use of the Performer’s image or performance.

7. OWNERSHIP OF ASCENSION PRODUCTIONS

Except where separately agreed in writing, copyright and other rights in photographs, video productions, broadcasts, graphics and other material created by Ascension or created on Ascension’s behalf will belong to Ascension to the extent that Ascension owns or has acquired those rights.

The Performer retains rights that cannot lawfully be transferred or excluded.

The permission and licence granted by the Performer under this Agreement allows Ascension to exploit the Performer’s recorded performances as described in this Agreement.

8. PAYMENT AND ROYALTIES

Unless Ascension and the Performer specifically agree otherwise in writing, the Performer will not be entitled to an additional fee, royalty or residual payment solely because Ascension photographs, records, broadcasts, streams, distributes, republishes or continues to make available material covered by this Agreement.

Any appearance fee or other payment for an individual booking will be dealt with separately as part of the relevant booking arrangement.

Nothing in this Agreement removes any statutory entitlement that cannot lawfully be waived or excluded.

9. ARCHIVE AND CONTINUED USE

Material lawfully created during the Performer’s association with Ascension may remain part of Ascension’s historical and commercial archive after the Performer stops appearing for Ascension.

Subject always to applicable law and the Performer’s legal rights, Ascension may continue to:

• make previous matches available;
• retain previous episodes;
• maintain PPV and on-demand content;
• use historical photographs;
• publish retrospective content;
• include footage in documentaries and compilations;
• advertise or promote archive programming; and
• preserve footage as part of Ascension Wrestling’s historical archive.

Ending the Performer’s working relationship with Ascension does not by itself cancel the rights previously granted in relation to material lawfully created under this Agreement.

This Agreement does not permit Ascension to create new photographs or recordings of the Performer after their relationship with Ascension has ended without a new lawful basis or agreement.

10. THIRD-PARTY DISTRIBUTION

The Performer acknowledges that content may be distributed or hosted using third-party services such as social media networks, video hosting services, broadcasters, content delivery networks, payment or PPV providers and other media platforms.

Once content has legitimately been published or distributed, copies or excerpts may continue to exist on third-party platforms, archives, search engines, news reports or audience-generated material outside Ascension's direct control.

Ascension will not be responsible for unauthorised use by unrelated third parties, but this does not affect any obligations Ascension itself has under applicable law.

11. DATA PROTECTION AND PRIVACY

Ascension will process personal information relating to the Performer in accordance with applicable UK data protection law and Ascension Wrestling's Privacy Policy.

Personal information connected with this Agreement may include:

• name;
• ring name;
• contact details;
• photographs;
• video and audio recordings;
• digital signature;
• date and time of signature; and
• records necessary to evidence this Agreement.

Ascension's Privacy Policy explains the purposes for which personal information is processed, the applicable lawful bases, retention arrangements, sharing of information and the Performer’s data protection rights.

Signing this Agreement acknowledges receipt of, or access to, that privacy information. It is not intended to replace any consent that may separately be required for a processing activity where consent is the appropriate lawful basis.

12. PERFORMER CONFIRMATIONS

By signing this Agreement, the Performer confirms that:

1. they are aged 18 or over;
2. the information they have provided is accurate;
3. they have read and understood this Agreement;
4. they understand that Ascension events may be professionally filmed, photographed, livestreamed and distributed;
5. they authorise the recording and use of their performances on the terms set out above;
6. they understand that material created while this Agreement applies may continue to be used after they cease working with Ascension;
7. they understand that their individual appearance fees and bookings are separate from this Agreement;
8. they have been given the opportunity to retain a copy of this Agreement; and
9. they have been provided with access to Ascension Wrestling's Privacy Policy.

13. TERM AND REPLACEMENT

This Agreement takes effect on the date it is electronically signed by the Performer.

It applies to Ascension-related material created from that date until the Performer or Ascension is notified that the Agreement has been replaced or terminated in respect of future recordings.

Termination or replacement of this Agreement will not automatically invalidate permissions already granted for material lawfully recorded or created before that date, subject to applicable law and the Performer’s statutory rights.

Any future agreement expressly replacing this Agreement will take precedence from the date stated in that agreement.

14. ENTIRE AGREEMENT

This document contains the agreement between Ascension and the Performer concerning the recording and media uses described above, except where additional rights or restrictions are expressly agreed in writing.

Any amendment to this Agreement must be recorded in writing.

If any provision is found to be unenforceable, the remaining provisions will continue to apply insofar as legally possible.

15. GOVERNING LAW

This Agreement is governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction in relation to disputes arising from this Agreement, subject to any mandatory legal rights that apply.
